Terms and Conditions

1. Acceptance of Terms

By accessing or using the Mobile Application (Android, iOS), Desktop Application (Windows, macOS), Web Application, Website, or cloud invoicing APIs provided by Bill Way (JANVI PACKAGING), you agree to be legally bound by these Terms of Service. If you do not agree to all of these Terms, you are prohibited from using the platform.

2. Changes to Terms

JANVI PACKAGING reserves the right to modify these Terms at any time. Material changes will be indicated by the “Last Updated” timestamp on this page. Your continued use of the application following revisions constitutes binding acceptance of the updated Terms.

3. Changes to the Services

JANVI PACKAGING may modify, upgrade, deprecate, or suspend functionalities, plan quotas, or features of Bill Way at any time without prior liability to users.

4. Cookies & Local Storage

We employ essential browser storage tokens and session cookies to maintain your login credentials, dark/light theme choices, and active business identity in accordance with our Privacy Policy.

5. License & Intellectual Property

All software code, database architectures, print layout templates, logos, UI designs, and algorithms on Bill Way are the proprietary intellectual property of JANVI PACKAGING. Users are granted a limited, revocable, non-exclusive license strictly for internal business operations.

You must not:

• Reverse engineer, decompile, copy, or disassemble the source code or API endpoints;
• Replicate, sell, sub-license, or create derivative products from Bill Way;
• Deploy automated bots or scraping tools against our platform.

6. User Content & Data Ownership

You retain 100% ownership of your business records, items catalog, customer contacts, and invoice data. You grant JANVI PACKAGING a secure license to store, process, and transmit this data strictly to deliver the cloud services and automated backups.

7. Free Plan & Trial Access Limits

Users on Free Tier or Trial plans receive access subject to platform storage windows and usage limits. For Free Tier and Trial users, JANVI PACKAGING’s aggregate liability is legally fixed at exactly zero Rupees (₹0).

8. Content Liability & Document Disclaimers

JANVI PACKAGING bears zero liability for any tax invoices, estimates, quotations, delivery challans, or financial ledgers generated on Bill Way. The user generating the document assumes sole responsibility for its statutory correctness, tax rate accuracy, and legal enforceability.

9. Payments, UPI QR & Gateway Liability

Bill Way provides convenience integrations for UPI QR rendering and third-party payment links. JANVI PACKAGING does not hold, collect, or escrow customer funds. All transaction settlements, chargebacks, customer refunds, or disputes must be resolved directly between the buyer and seller or through the respective bank/payment gateway.

10. Tax Numbers (GSTIN), PAN & Credentials Authenticity

Bill Way is a self-serve tool. All business details, GSTINs, PANs, and bank details are entered directly by the user without independent verification by JANVI PACKAGING. You warrant that all credentials you input belong lawfully to your business entity. JANVI PACKAGING is immune from any claims arising from credential misrepresentation by users.

11. Limitation of Liability for Government Filings, GST & E-Way Bills

Bill Way does not provide legal, tax, accounting, or CA compliance advice. The user is strictly required to verify all calculations, HSN codes, reverse charges, tax rates, and portal filings before issuance.

JANVI PACKAGING shall not be liable for any tax demand, audit penalty, statutory notice, goods seizure, vehicle detention, demurrage, transport delay, or loss of profits arising from documents generated on the platform.

12. Limitation of Damages & Maximum Liability Cap

To the maximum extent permitted by applicable law, JANVI PACKAGING’s total aggregate liability arising out of or related to your use of Bill Way shall never exceed the total subscription fees actually paid by you to JANVI PACKAGING in the immediately preceding twelve (12) months. In no event shall we be liable for indirect, special, punitive, or consequential damages.

13. User Indemnification

You agree to fully indemnify, defend, and hold harmless JANVI PACKAGING, its proprietors, affiliates, employees, and agents from any and all claims, statutory penalties, legal costs, liabilities, and damages resulting from your invoices, tax filings, trade disputes, or breach of these Terms.

14. No Guarantee of Regulatory Compliance

The availability of GST formulas, tax slabs, or invoice formats does not constitute representation that documents satisfy statutory requirements of every tax authority. Users should consult their qualified Chartered Accountant (CA) or tax auditor.

JANVI PACKAGING shall not be held liable for any delay, failure in performance, or service interruption resulting directly or indirectly from acts of God, cloud hosting outages (e.g. AWS, Render, Vercel, Cloudflare), power grid failures, government internet shutdowns, cyberattacks, or telecommunication breakdowns beyond our reasonable control.

Bill Way features automated calculation tools, OCR receipt scanning, barcode auto-fill, and smart HSN suggestions. These are assistive utilities provided on an “as is” basis. You are strictly required to double-check all extracted numbers, totals, and tax breakdowns before finalizing transactions. JANVI PACKAGING is not responsible for algorithmic or OCR parsing inaccuracies.

Account owners may create operator accounts and assign role-based permissions to employees or accountants. All invoices issued, deleted, discounted, or modified under staff credentials are the sole internal liability of the business owner. JANVI PACKAGING is not responsible for internal employee theft, unauthorized price overrides, or rogue operator actions.

Users expressly agree not to utilize Bill Way for billing contraband goods, illegal narcotics, unlicensed weapons, Hawala transactions, money laundering, or fake circular invoices created to illegally claim GST Input Tax Credit (ITC).

Neutral Intermediary & Zero Proactive Monitoring: Bill Way operates strictly as an automated, self-serve technology tool and intermediary under Section 79 of the Information Technology Act, 2000. JANVI PACKAGING does not proactively monitor, review, inspect, or verify private commercial line items, invoices, or business deals conducted by users, and bears zero legal liability for user-created content.

JANVI PACKAGING shall only disclose account records or freeze access if strictly mandated by a formal written notice or statutory order from authorized Law Enforcement Agencies, Courts, or the Directorate General of GST Intelligence (DGGI).

19. Offline POS & Local Device Sync Cache

When utilizing offline POS modes, local device storage retains temporary transaction records. Users are responsible for maintaining stable internet connections to sync transactions to the cloud. JANVI PACKAGING is not liable for data loss caused by manual browser cache clearing, device resets, or hardware failures prior to cloud synchronization.

20. Abusive Language & Professional Conduct Clause

We maintain a zero-tolerance policy against abusive, threatening, or profane language directed at company staff. JANVI PACKAGING reserves the absolute right to immediately terminate access to support channels or suspend accounts engaging in abusive conduct without liability for refunds.

21. Support Communication & SLA

Customer support is provided electronically via email at billwayinovices@gmail.com and in-app ticketing channels. Response times may vary depending on subscription tier.

22. Account Termination & Suspension

You may terminate your account at any time. JANVI PACKAGING may suspend or terminate accounts for material breach of terms, fraudulent activities, non-payment, or credential misrepresentation without prior notice.

23. Governing Law & Exclusive Jurisdiction (Mumbai, India)

These Terms shall be governed by and construed in accordance with the Laws of India.

Any dispute, claim, suit, controversy, or proceeding arising out of or related to these Terms or the use of Bill Way shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India. Both parties irrevocably submit to the exclusive personal jurisdiction of courts in Mumbai.
